1 Acceptance of Terms & Capacity to Contract

By creating an account, depositing funds, clicking "I Agree", or accessing the automated services of SDM Panel (operating at https://sdmpanel.co.in), you confirm that you have read, understood, and agreed to be legally bound by these Terms of Service.

You represent and warrant that you are at least eighteen (18) years of age, mentally sound, and possess the lawful legal capacity to enter into a binding contract under the Indian Contract Act, 1872. If you are accessing this platform on behalf of a company, corporate entity, or agency, you represent that you possess lawful authority to bind said entity to these Terms.

2 Account Security, Credentials & API Usage

• Confidentiality: You are solely responsible for maintaining the confidentiality of your login credentials, password, Two-Factor Authentication (TOTP) codes, and Reseller API keys. Any action taken through your account or API key shall be deemed to have been authorized by you.
• Notification of Breach: You agree to notify SDM Panel immediately in writing if you suspect any unauthorized access or compromise of your credentials.
• Prohibition of Account Transfer: Accounts are personal to the registered user and cannot be transferred, sold, or shared with third parties without our prior written consent.

3 Acceptable Use Policy & Prohibited Content

You agree to utilize SDM Panel strictly for legitimate social media marketing, personal branding, and business promotion. You explicitly covenant that you shall NOT submit any links or promotional orders promoting:

Violation of this section will result in immediate termination of your account, forfeiture of remaining wallet balance without refund, and immediate reporting to the National Cyber Crime Reporting Portal (cybercrime.gov.in) and law enforcement authorities.

4 Service Delivery, Delivery Speeds & Refill Guarantees

• Delivery Timelines: Posted delivery speeds (e.g., "15-45 Minutes", "Instant") are estimates based on historical automated throughput. We do NOT warrant or guarantee exact minute-level completion times as delivery depends upon upstream API nodes, social network load, and third-party algorithm updates.
• Single Active Order Rule: You must not submit multiple simultaneous orders with the same URL target until the first order has completed processing. Overlapping orders may interfere with start count tracking and will not be eligible for refunds or refills.
• Public Profile Requirement: All social media accounts, channels, posts, or groups submitted for promotion must remain set to PUBLIC throughout fulfillment. If a profile is switched to Private during an active order, the order may fail without liability to SDM Panel.
• Drop Rates & Refills: Third-party social networks periodically purge inactive accounts. Services featuring a "Refill Guarantee" (e.g. 30-Day Refill) will be refilled upon clicking the Refill button in the Orders dashboard, provided the current count is not below the starting count. Services marked "No Refill" carry zero retention warranty post-delivery.

5 Wallet Deposits, Payment Gateway Rules & Zero Chargeback

• Digital Wallet Prepayment: SDM Panel operates on an automated prepaid wallet model. Funds deposited into your panel wallet are converted into virtual platform balance strictly for purchasing marketing services on our portal.
• Non-Transferability: Wallet balance cannot be encashed, withdrawn back to bank accounts, or transferred to other accounts once deposit is verified.
• Automated Cancellation & Wallet Crediting: If an order cannot be processed, is rejected by upstream dispatch nodes, or finishes with partial count delivery, the remaining order fee is automatically credited back to your platform wallet balance instantly, ensuring complete consumer protection and zero capital loss.
• Chargeback Defense & Dispute Policy: Initiating a payment dispute, chargeback, or reversal through your bank, UPI app, or payment gateway without first raising a support ticket constitutes a material breach of this contract. In the event of a fraudulent chargeback, we reserve the right to suspend your account, blacklist your IP/UPI ID across partner networks, and pursue civil recovery and criminal action under Section 420 of the Indian Penal Code.

6 Independent Third-Party Disclaimer

SDM Panel is an independent digital marketing agency and technology provider. We are not endorsed, sponsored, affiliated, or associated with Instagram, Meta Platforms, YouTube, Google LLC, Telegram Messenger, Twitter / X Corp, TikTok / ByteDance, or any other social network. All trademarks, service marks, trade names, and product logos displayed are the property of their respective owners.

7 Limitation of Liability & Indemnification

To the maximum extent permitted by applicable Indian law, SDM Panel, its operators, directors, employees, and technical partners shall not be liable for any indirect, incidental, punitive, consequential, or special damages, including loss of profits, business interruption, account suspension, or loss of social media profiles.

You agree to defend, indemnify, and hold harmless SDM Panel from and against any third-party claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with your breach of these Terms or your violation of applicable laws.

8 Governing Law & Exclusive Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any legal proceeding, dispute, or lawsuit arising under this Agreement shall be subject to the exclusive jurisdiction of the competent Courts situated in India under applicable laws of India.
